These Terms of Service (“Terms”) are a legally binding agreement between you (“Customer,” “User,” “you,” or “your”) and MamTina, LLC (“MamTina,” “Company,” “we,” “our,” or “us”). These Terms govern your access to and use of the MamTina platform, website, APIs, software applications, AI communication systems, messaging tools, telephony features, and related services (collectively, the “Services”).
By accessing, registering for, purchasing, or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
If you do not agree to these Terms, you may not use the Services.
1. Eligibility & Authority
You represent and warrant that:
- You are at least eighteen (18) years old;
- You have the legal authority to enter into binding agreements;
- You are authorized to act on behalf of any company or organization using the Services; and
- Your use of the Services will comply with all applicable laws and regulations.
If you use the Services on behalf of a company or organization, then “Customer” includes both you and that company or organization.
2. Description of Services
MamTina provides AI-powered business communication services designed to help businesses, contractors, service providers, and professionals manage customer calls, messages, appointment requests, and related customer interactions.
Depending on the customer’s subscription, configuration, and available features, the Services may include AI-powered call answering, AI voice conversations, appointment scheduling, lead intake and qualification, SMS messaging, customer response support, call routing and forwarding, calendar or CRM integrations, workflow automations, communication summaries, conversation transcripts, analytics, and other related tools or features made available by MamTina.
MamTina may modify, suspend, discontinue, replace, or update any portion of the Services from time to time without liability, subject to applicable law and any written agreement between MamTina and the Customer.
3. AI & Automated Communications Disclaimer
MamTina uses artificial intelligence, automated communication tools, speech technologies, and third-party telecommunications infrastructure to support its AI receptionist and related communication services.
AI-generated communications, summaries, transcripts, and responses may not always be accurate, complete, timely, or appropriate for every situation. The Services may misunderstand caller intent, user instructions, appointment details, or customer requests, and service quality may also depend on telecommunications carriers, network availability, integrations, and third-party platforms.
MamTina does not guarantee any particular business result from use of the Services, including increased revenue, lead conversion, customer retention, appointment scheduling, message delivery, or business growth.
You are responsible for reviewing and supervising communications and outputs generated through the Services, especially where they involve important customer information, scheduling, payment, legal, medical, financial, emergency, or other sensitive matters. The Services are not designed for emergency or life-safety communications and should not be used as a substitute for 911, emergency response, or urgent professional assistance.
4. Telecommunications & Messaging Compliance
You are responsible for ensuring that your use of the Services complies with all applicable laws, regulations, carrier requirements, and platform policies, including telecommunications, SMS, email, marketing, privacy, call consent, Do-Not-Call, and transcript-related disclosure requirements that apply to your business or your customers. Without limiting the foregoing, you are responsible for obtaining any required prior express written consent before sending SMS or text messages to your customers or callers through the Services. MamTina is not responsible for your failure to obtain any required consent.
You are also responsible for promptly honoring all opt-out, unsubscribe, do-not-call, and STOP requests received from your customers, callers, or message recipients.
You may not use the Services for spam, unlawful robocalling, deceptive marketing, phishing, harassment, impersonation, fraud, unlawful solicitation, abusive communications, or any illegal activity.
MamTina may suspend, investigate, restrict, or terminate any account or use of the Services that MamTina reasonably believes violates applicable laws, carrier requirements, platform policies, these Terms, or the rights of MamTina, its users, callers, or third parties.
5. Communications, Transcripts & Consent
MamTina does not record or store call audio. To provide the Services, MamTina may process communications handled through the platform, including call metadata, messages, appointment requests, customer inquiries, AI-generated responses, summaries, and conversation transcripts. Call metadata may include caller phone numbers, call times, call duration, routing information, and related technical details.
Conversation content, including conversation transcripts and SMS message content, may be retained for up to thirty (30) days from the date of the call or communication, unless a longer retention period is required by law, necessary to resolve a dispute, needed to maintain security, or required to protect MamTina’s legal or business interests. Business customer records, including caller names, phone numbers, service addresses, appointment and job details, customer notes, and AI-generated call summaries, are retained to provide the Services and form part of each business customer’s own records. MamTina retains this information for as long as the Customer’s account remains active, and for thirty (30) days after the account is closed or canceled so the account can be reactivated without loss of records, after which it is deleted, unless a longer retention period is required by law, necessary to resolve a dispute, needed to maintain security, or required to protect MamTina’s legal or business interests.
Account, billing, tax, accounting, security, usage, and technical call-metadata records, including call timestamps, call duration, routing information, billing and usage data, and related technical details, are retained only as long as necessary to meet MamTina’s legal, tax, accounting, security, fraud-prevention, audit, and operational recordkeeping purposes, generally no longer than seven (7) years after the account is closed, after which they are deleted or anonymized. This retention category does not include conversation content or business customer records, which are retained as described above.
Customer is responsible for determining whether any AI, call-handling, transcription, SMS, telecommunications, recording, monitoring, or consent notice is required in connection with Customer’s use of the Services. Customer is responsible for enabling any available disclosure feature, providing all legally required notices, and obtaining all legally required consents based on Customer’s operations, caller locations, industry, and applicable law.
MamTina does not provide legal advice regarding these obligations, and Customer agrees to indemnify and hold harmless MamTina from claims arising from Customer’s failure to comply with them.
When MamTina processes caller, end-user, or customer communication information on behalf of a business customer, MamTina does so as a service provider, processor, or similar service-related role under applicable privacy laws. MamTina will process such information only for limited service-related purposes, including providing, operating, supporting, securing, maintaining, and improving the functionality and performance of the Services, or as otherwise permitted by applicable law, these Terms, any applicable customer agreement, or any applicable Data Processing Addendum.
Where SMS messaging is used as part of the Services, message frequency varies and message and data rates may apply. Recipients may opt out of SMS messages at any time by replying STOP and may reply HELP for assistance. Mobile carriers are not liable for delayed or undelivered messages.
6. Account Registration & Security
To access certain Services, you may be required to create an account. You agree to provide accurate and current information, keep your account credentials confidential, promptly update your account information when necessary, and notify MamTina of any unauthorized access or suspected security breach.
You are responsible for all activities conducted through your account, whether or not you authorized those activities. MamTina is not liable for losses resulting from unauthorized account access unless caused by MamTina’s own gross negligence or willful misconduct.
7. Subscription Plans & Billing
MamTina offers the Services through recurring subscription plans, which may include monthly, semi-annual, annual, usage-based, premium feature, optional add-on, communication overage, or other billing structures made available by MamTina.
Before completing a purchase, MamTina will present the applicable plan terms, including the price, billing frequency, renewal terms, cancellation method, and any material limitations or charges associated with the selected plan.
By purchasing a paid subscription, Customer authorizes MamTina and its third-party payment processors to charge the selected payment method on a recurring basis until the subscription is canceled in accordance with MamTina’s cancellation process.
Subscriptions automatically renew unless canceled before the next billing cycle. Unless otherwise stated by MamTina in writing or required by applicable law, cancellation will take effect at the end of the then-current billing period, and Customer will not receive a prorated refund for unused time.
MamTina may provide renewal notices, reminders, acknowledgments, cancellation options, or other disclosures where required by applicable law. MamTina may change pricing, usage limits, features, or subscription structures from time to time, subject to applicable law and any written agreement between MamTina and Customer.
8. Payments
All fees are charged in U.S. Dollars unless otherwise stated. By purchasing or using paid Services, you authorize MamTina and its third-party payment processors to charge your selected payment method for applicable subscription fees, add-ons, taxes, usage-based charges, communication overages, third-party service fees, and any other charges associated with your selected plan or use of the Services.
If a payment is not received when due, MamTina may suspend or restrict access to the Services, terminate the account, or take other reasonable steps to collect unpaid amounts. MamTina may use third-party payment processors and billing providers to process payments and manage billing.
9. Refund Policy
Unless otherwise expressly stated in writing or required by applicable law, fees paid to MamTina are final and non-refundable. This includes subscription fees, setup fees, add-ons, usage-based charges, communication overages, and partial billing periods.
MamTina may, in its sole discretion, issue credits, refunds, or promotional adjustments on a case-by-case basis. Any decision to provide a refund or credit in one instance does not require MamTina to provide the same treatment in any other instance.
10. Fair Usage & Platform Abuse
MamTina may monitor usage patterns to protect the Services from abuse, excessive operational strain, fraud, carrier violations, security risks, or other misuse. MamTina may suspend, limit, restrict, or terminate access where an account excessively consumes resources, abuses communication systems, interferes with platform stability, violates carrier or platform policies, or creates unreasonable risk to MamTina, its users, callers, service providers, or third parties.
11. Third-Party Services & Integrations
The Services may integrate with or rely on third-party providers, including telephony carriers, AI model providers, hosting providers, messaging platforms, CRM providers, calendar systems, analytics providers, payment processors, and other technology or infrastructure providers.
MamTina does not control third-party systems and is not responsible for outages, interruptions, delays, message delivery failures, security incidents, third-party policy changes, data loss, or other issues caused by third-party services. Your use of third-party services may also be subject to separate terms, policies, or agreements with those providers.
12. Intellectual Property
All rights, title, and interest in the Services, including the software, APIs, workflows, AI systems, branding, interfaces, designs, graphics, logos, content, and related technology, remain the exclusive property of MamTina, LLC and its licensors.
Except as expressly permitted by MamTina in writing, you may not:
- copy, reproduce, distribute, or sublicense any part of the Services;
- modify, adapt, translate, or create derivative works from the Services;
- reverse engineer, decompile, or attempt to discover the source code or underlying structure of the Services;
- resell, lease, commercially exploit, or make the Services available to third parties without authorization; or
- scrape, extract, or misuse data, content, or technology made available through the Services.
No ownership rights are transferred to you under these Terms.
13. User Content
Customer retains ownership of the content, prompts, data, communications, customer information, messages, and other materials Customer submits or makes available through the Services.
Customer grants MamTina a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, analyze, reproduce, and use such content solely as necessary to operate, provide, secure, support, maintain, troubleshoot, and improve the functionality and performance of the Services.
This license does not authorize MamTina to use identifiable caller data, customer business data, conversation transcripts, call metadata, or other Customer-provided content to train, fine-tune, or develop MamTina’s own AI models, except where such use is properly disclosed and permitted under applicable law, these Terms, the Privacy Policy, and any applicable customer agreement or Data Processing Addendum.
Customer represents and warrants that Customer has all necessary rights, permissions, and authority to provide such content to MamTina and to allow MamTina to process it in connection with the Services.
14. Service Availability
MamTina does not guarantee that the Services will be uninterrupted, secure, error-free, or available at all times. Temporary outages, maintenance, carrier interruptions, infrastructure failures, third-party outages, or technical issues may occur.
MamTina may perform scheduled or emergency maintenance from time to time, with or without notice.
15. Disclaimer of Warranties
MamTina provides the Services on an “as is” and “as available” basis. While MamTina works to provide reliable AI receptionist and communication services, the Services may depend on artificial intelligence, telecommunications carriers, messaging providers, internet connectivity, integrations, and other third-party systems that MamTina does not fully control.
To the maximum extent permitted by law, MamTina disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, security, availability, and uninterrupted operation.
MamTina does not guarantee that the Services will be error-free, that calls will always connect, that messages will always be delivered, that appointments will always be scheduled correctly, or that AI-generated responses, summaries, or transcripts will always be accurate, complete, or suitable for your business needs.
16. Limitation of Liability
To the maximum extent permitted by law, MamTina will not be liable for any lost profits, lost revenue, lost business opportunities, lost customers, missed calls, missed appointments, missed jobs, business interruption, data loss, or any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the Services, these Terms, or any applicable customer agreement.
This limitation applies whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, and even if MamTina has been advised that such damages may occur.
To the maximum extent permitted by law, MamTina’s total aggregate liability arising out of or related to the Services, these Terms, or any applicable customer agreement will not exceed the total amount paid by Customer to MamTina for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
17. Indemnification
Customer agrees to indemnify, defend, and hold harmless MamTina, LLC and its affiliates, officers, employees, contractors, agents, licensors, service providers, and representatives from and against any claims, demands, actions, damages, liabilities, judgments, losses, costs, expenses, and reasonable attorneys’ fees arising out of or related to:
- Customer’s use or misuse of the Services;
- Customer’s communications, messages, marketing activities, customer interactions, or content submitted through the Services;
- Customer’s failure to provide required notices, enable appropriate disclosure settings, obtain required consents, or honor opt-out, unsubscribe, Do-Not-Call, or STOP requests;
- Customer’s violation of applicable law, carrier requirements, platform policies, third-party rights, or these Terms; or
- any allegation that Customer-provided content or Customer’s use of the Services infringes, misappropriates, or violates the rights of another person or entity.
18. Suspension & Termination
MamTina may suspend, restrict, or terminate your access to the Services, with or without notice, if MamTina reasonably believes that you have violated these Terms, failed to pay amounts when due, misused the Services, engaged in unlawful or fraudulent conduct, created carrier complaints or operational risk, or used the Services in a way that may harm MamTina, its users, callers, service providers, or third parties.
Termination does not relieve you of any payment obligations or other obligations that accrued before termination.
19. Arbitration & Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, unless applicable law requires otherwise. The arbitration will take place in Wyoming, United States, unless the parties agree otherwise or applicable law requires a different location.
To the maximum extent permitted by law, disputes must be brought only on an individual basis. You and MamTina waive the right to a jury trial and the right to participate in any class action, collective action, or representative proceeding.
Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief from a court of competent jurisdiction where necessary to protect intellectual property, confidential information, account security, or unauthorized use of the Services. The parties will be responsible for arbitration fees and costs in accordance with the applicable arbitration rules, except that MamTina may be required to pay certain fees where required by applicable law or by the rules of the arbitration administrator.
20. Governing Law
These Terms are governed by and interpreted under the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
21. Force Majeure
MamTina will not be liable for any delay, interruption, or failure to perform caused by events beyond its reasonable control. These events may include carrier outages, internet failures, cyberattacks, labor disputes, government actions, natural disasters, infrastructure failures, acts of war, third-party outages, or other events that reasonably prevent or delay performance.
22. Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.
23. Modifications to the Services & Terms
MamTina may modify the Services or update these Terms from time to time. Updated Terms will become effective when posted, unless a different effective date is stated.
Your continued use of the Services after updated Terms are posted means that you accept the revised Terms.
24. Privacy Policy
Your use of the Services is also governed by MamTina’s Privacy Policy, which explains how MamTina collects, uses, discloses, retains, and protects information in connection with the Services.
